Terms of Service

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and BacktestPro LLC, a Wyoming Limited Liability Company ("BacktestPro", "Company", "we", "us", "our"), governing your access to and use of the BacktestPro website, platform, products, and services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Refund Policy, and our Risk Disclaimer, which are incorporated herein by reference. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

Age Requirement: You must be at least 18 years old to use our Services. By using the Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this Agreement.

BacktestPro provides a platform for trading tools and related services, including but not limited to:

• Trading Products: MetaTrader indicators, Expert Advisors (EAs), scripts, and related trading software
• Signal Services: Trading signals delivered via Telegram, Discord, or other communication channels
• Copy Trading Services: Services that enable automated copying of trades to your trading account
• Strategy Optimization Services: Professional analysis, backtesting, parameter optimization, and statistical validation of client-submitted trading strategies, delivered as written reports and data packages

ALL SERVICES ARE PROVIDED FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. WE DO NOT PROVIDE FINANCIAL, INVESTMENT, TAX, OR LEGAL ADVICE. NOTHING ON OUR PLATFORM CONSTITUTES A RECOMMENDATION TO BUY, SELL, OR HOLD ANY FINANCIAL INSTRUMENT.

3.1 Account Creation

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and maintain the accuracy of such information. You are solely responsible for all activity that occurs under your account.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for restricting access to your account. You agree to immediately notify us of any unauthorized use of your account or any other security breach. We will not be liable for any loss arising from unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend, disable, or terminate your account at our sole discretion, without notice, for any reason, including but not limited to: violation of these Terms, suspected fraudulent activity, non-payment, abusive behavior, or any conduct that we determine harms other users or our business interests.

4.1 Pricing

All prices are quoted in US Dollars unless otherwise specified. Prices are subject to change without notice. Any promotional pricing is valid only for the duration specified. We reserve the right to modify pricing at any time.

4.2 Payment Processing

Payments are processed through third-party payment processors. We currently accept cryptocurrency payments via NowPayments. Additional payment methods, including credit/debit card processing, may be added in the future. By making a purchase, you authorize us and our payment processors to charge your selected payment method. You agree to provide current, complete, and accurate billing information.

4.3 Subscriptions

Subscription services automatically renew at the end of each billing period unless canceled. You may cancel your subscription at any time, but no refunds will be provided for partial billing periods except as specified in our Refund Policy. We reserve the right to change subscription fees upon notice, with changes taking effect at the next billing cycle.

4.4 Taxes

You are responsible for all applicable taxes, duties, and levies associated with your purchases. Prices do not include applicable taxes unless explicitly stated.

4.5 Chargebacks and Disputes

If you dispute a charge without first contacting us to resolve the issue, we reserve the right to immediately terminate your account and access to all Services. Fraudulent chargebacks may result in collection actions and reporting to credit bureaus.

4.6 Strategy Optimization Payments

• A non-refundable deposit of 60% of the total project fee is required before work begins.
• The remaining 40% balance is due upon delivery of final deliverables (optimization report, data, and implementation guide).
• If the remaining balance is not received within 14 calendar days of delivery, BacktestPro reserves the right to revoke access to deliverables until payment is made.
• All pricing is quoted in USD. Tier pricing (Starter: $999, Professional: $2,499, Elite: $4,999) is as displayed on the service page at the time of submission.
• Add-on services (multi-instrument testing, Monte Carlo simulation, walk-forward analysis) are priced separately and disclosed before work begins.

5.1 Our Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, source code, algorithms, trading strategies, indicators, Expert Advisors, and the overall design and structure, are owned by BacktestPro LLC or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 Limited License

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and any purchased products solely for your personal, non-commercial trading purposes.

5.3 Restrictions

You agree NOT to:

• Copy, modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of the Services or products
• Redistribute, resell, sublicense, rent, lease, or share access to the Services or products
• Remove, alter, or obscure any copyright, trademark, or proprietary notices
• Use the Services to develop competing products or services
• Share login credentials or allow others to access your account
• Publish, reproduce, or publicly display our proprietary content, including backtesting data and research
• Use automated tools, bots, or scripts to access the Services without express permission
• Circumvent any technological protection measures or access controls

5.4 Source Code Products

Products sold with source code access are licensed for personal use only. You may not redistribute, sell, share, publish, or make available the source code to any third party. Violation of this provision will result in immediate termination and may result in legal action.

5.5 Strategy Optimization Deliverables

• The Client retains full ownership of their original strategy concept, trading rules, and logic as submitted to BacktestPro.
• BacktestPro retains all rights to its optimization methodology, proprietary tools, algorithms, analytical frameworks, and internal processes used to perform the optimization.
• Deliverables (optimization reports, backtesting data, implementation guides) are licensed to the Client for personal, non-commercial use only.
• The Client may NOT redistribute, resell, sublicense, publicly share, or make available to third parties any optimization reports, data, or deliverables without prior written consent from BacktestPro.
• BacktestPro may use anonymized and aggregated data from optimization projects for internal research, service improvement, and statistical benchmarking, provided no Client-identifiable information is disclosed.

By using our Services, you agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Services for any illegal, fraudulent, or unauthorized purpose
• Transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Services or servers
• Engage in any activity that could damage, disable, or impair the Services
• Use the Services to harass, abuse, or harm others
• Impersonate any person or entity or misrepresent your affiliation
• Collect or harvest any information about other users
• Post or transmit spam, chain letters, or unsolicited communications
• Use the Services in any manner that could create liability for BacktestPro
• Violate the intellectual property rights of BacktestPro or any third party

8.1 No Financial Advice

BacktestPro does not provide investment advice, financial advice, trading advice, or any other advice. All information provided is for educational and informational purposes only. You acknowledge that any trading decisions you make are solely your responsibility.

8.2 Hypothetical Performance

HYPOTHETICAL PERFORMANCE RESULTS HAVE MANY INHERENT LIMITATIONS. NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFITS OR LOSSES SIMILAR TO THOSE SHOWN. THERE ARE FREQUENTLY SHARP DIFFERENCES BETWEEN HYPOTHETICAL PERFORMANCE RESULTS AND THE ACTUAL RESULTS SUBSEQUENTLY ACHIEVED BY ANY PARTICULAR TRADING PROGRAM.

8.3 Backtesting Limitations

Backtested results are based on historical data and do not guarantee future performance. Backtesting cannot account for all market conditions, slippage, spreads, broker differences, or execution delays that affect real trading.

8.4 Your Acknowledgments

By using our Services, you acknowledge and agree that:

• You understand and accept the risks of trading financial instruments
• You are solely responsible for your trading decisions and results
• You will only trade with money you can afford to lose
• Past performance shown by our products or signals does not guarantee future results
• You have sought independent financial and legal advice if necessary
• You are not relying on BacktestPro for any trading decisions
• You understand that trading software and signals may malfunction or produce errors

No information, advice, or services obtained through BacktestPro shall create any warranty not expressly stated herein. We do not warrant that any trading system, indicator, or Expert Advisor will produce profitable results. You assume full responsibility for all consequences of your use of the Services.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO BACKTESTPRO IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, INCLUDING CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF BACKTESTPRO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

You agree to indemnify, defend, and hold harmless BacktestPro LLC, its members, managers, employees, agents, affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising from or relating to:

• Your use of or access to the Services
• Your violation of these Terms or any applicable law or regulation
• Your violation of any third-party rights, including intellectual property rights
• Your trading activities and any resulting losses
• Any content you submit, post, or transmit through the Services
• Any dispute between you and any third party, including brokers
• Your negligent or wrongful conduct

This indemnification obligation will survive the termination of these Terms and your use of the Services.

12.1 Informal Resolution

Before filing any claim, you agree to attempt to resolve any dispute informally by contacting us at support@backtestpro.trading. We will attempt to resolve the dispute within 30 days.

12.2 Binding Arbitration

If informal resolution fails, all disputes arising from or relating to these Terms or the Services shall be finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in the State of Wyoming, USA, or at another mutually agreed location.

12.3 Class Action Waiver

YOU AND BACKTESTPRO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS.

12.4 Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Wyoming.

You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

Our Services may contain links to third-party websites, services, or content that are not owned or controlled by BacktestPro. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services.

We are not responsible for the practices of any brokers, payment processors, or other third parties with whom you interact. Your use of such third-party services is subject to their terms and conditions.

We reserve the right to modify these Terms at any time at our sole discretion. Material changes will be notified via email or through a notice on our website. Your continued use of the Services after any modification constitutes acceptance of the modified Terms.

We encourage you to review these Terms periodically. The "Last Updated" date at the top indicates when these Terms were last revised.

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination:

• Your right to use the Services will immediately cease
• We may delete your account and any associated data
• Any licenses granted to you will terminate
• You remain liable for any amounts owed
• Provisions that by their nature should survive termination will survive

17.1 Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and Risk Disclaimer, constitute the entire agreement between you and BacktestPro and supersede all prior agreements.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

17.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

17.6 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and BacktestPro.
